TRANSCORP announces Change to its Board of Directors… Appoints Valentine Ozigbo, New CEO

Transnational Corporation of Nigeria Plc., TRANSCORP has announced the approved changes in the composition of the Board of Directors.

This was contained in a statement signed by the group’s secretary Hinelinkime Helen lwuchukwu and it read, “ We write to formally notify the investing public and The Exchange that pursuant to the provisions of the Companies and Allied Matters Act and Article 31 of the Articles of Association of the Company, the Board of Directors of Transnational Corporation of Nigeria Plc (the Company) on the 16th day of October 2018, approved the following changes in the composition of the Board of Directors:

  1. The resignations of Alhaji Abdulqadir Jeli Bello and Mr. Kayode Fasola as non-executive Directors with effect from the 30th of October 2018;
  1. The appointments of Mrs. Toyin Sanni and Ms. Obi Ibekwe as non-executive Directors with effect from the 30th of October 2018;
  2. The retirement of Mr. Adim Jibunoh as a director and the President/CEO of the Company with effect from the 1st of January 2019;
  1. The appointment of Mr. Valentine Ozigbo as a director and the President/CEO of the Company with effect from the 1st of January 2019;
  2. The resignation of Mrs. Owen Omogiafo as Executive Director of the Company with effect from the 1st of January 2019

It added that Mr. Ozigbo who is currently the MD/CEO of its subsidiary company, Transcorp Hotels Plc. will be replaced at the subsidiary by Mrs. Omogiafo with effect from 1st of January 2019.

MRS. OLUWATOYIN F. SANNI

She was Group Chief Executive Officer at United Capital Plc. (alternate name UBA Capital Plc.) from January 2014 until June 30, 2018. Mrs. Sanni served as Managing Director and Chief Executive Officer of Capital Trustees Limited (UBA Trustees Limited), a subsidiary of United Capital Plc. She has over 25 years’ experience in Investor services, Law and Finance. She was a Council Member of the Institute of Chartered Secretaries and Administrators Nigeria, a Fellow and Vice President of the Association of Pension Funds of Nigeria (APFN), an Associate of the Institute of Directors Nigeria and President of the Association of Corporate Trustees Nigeria. She has been Director at United Capital Plc since January 13, 2014. She has served on various committees and boards including the National Bond Steering Committee, the West African Capital Markets Integration Technical Committee and as Chairperson of the Custody Sub-Committee of the Capital Market. Prior to joining the United Capital Group, she had set up and run successful Trustee, Asset Management and Leasing businesses. She is a frequent speaker at various Seminars and Workshops, including International Investor Services events and relations, Howard University Africa Business Conference Washington DC, the Global Custody Conference and the Network Managers Conference and has served as a part-time lecturer of Business Law and Pensions Trusteeship at the University of Lagos / APFN Post-graduate program. She is a lawyer, Chartered Secretary and Stockbroker. Mrs. Sanni holds a Bachelor of Law degree from the University of Ife, a Masters degree, LLM (Hons) from the University of Lagos as well as a professional qualification of the I.C.S.A UK and the Chartered Institute of Stockbrokers (C.I.S) Nigeria.

OBI IBEKWE

She holds a Bachelor of Arts degree in International Relations from Tufts University, Medford, Massachusetts, U.S.A. and a law degree from the University of Lagos, Nigeria. She was called to the Nigerian Bar in 1986. She also holds an MBA degree from the prestigious Ross School of Business, University of Michigan, Ann Arbor, U.S.A.

She has over two decades experience in Banking, holding key management positions spanning Credit and Marketing, Credit Risk Management, Human Resources and Customer Service. During her career, she worked in some of the largest banks in the country including, Diamond Bank Plc, Zenith Bank Plc and United Bank for Africa Plc from where she retired as an Executive Director in 2016.

Prior to her banking career, she practiced with the Law firm of Olaniwun Ajayi & Co., specializing in commercial law. She was also at Accenture as a member of the senior management team where she led various comprehensive planning, organizational and resource management improvement projects in the private and public sectors.

VALENTINE OZIGBO

Ozigbo is the MD/CEO of Transcorp Hotels Plc.; and has led the positive transformation of the hotels in Abuja and Calabar for the past 7 years. He is a hospitality expert, banker and accountant with over 23 years’ experience in hospitality and banking. He is also a Chevening Scholar and winner of numerous university and work place awards. He graduated from Lancaster University, UK, with a Distinction in M.Sc. Finance. He also has an MBA in Banking & Finance and a B.Sc. in Accounting both from the University of Nigeria, Nsukka where he was the best faculty student. Mr Ozigbo is a winner of the Seven Stars Luxury Hospitality CEO of the Year Award, among many others. Under his leadership, Transcorp Hilton has consistently several global awards including the best business hotel in Africa from the World Travel Awards. He is a Fellow of the Institute of Chartered Accountants of Nigeria, the Chartered Institute of Taxation of Nigeria, the Institute of Credit Administration and the Institute for Tourism Professional.
